A2Z Construction Services: Labor Services Agreement

This Labor Services Agreement ("Agreement") is entered into as of _________ ("Effective Date") by and between A2Z Construction Services ("A2Z") and the Client identified in this form.

1. Purpose

A2Z provides construction labor personnel to Client. Workers remain employees or contractors of A2Z and are not employees of Client.

2. Services

Labor may include general labor, demolition, trenching, material handling, site cleanup, and specialized construction support. Client provides supervision, safety, tools, and materials unless otherwise agreed.

3. Labor Schedule (Attachment A)

4. Labor Rates

Services are billed at the following standard hourly rates: General Labor: $45.00/hour. Specialized/Skilled Labor: $60.00/hour. Rates are subject to change with written notice and apply to all hours worked, including the 8‑hour daily minimum where applicable.

5. Minimum Charge

Each worker assignment is subject to an 8‑hour minimum per day. Early release does not reduce minimum billing.

6. Weekly Billing

Projects exceeding one week are billed weekly and due regardless of project completion status.

7. Payment Method

Client must maintain a valid card or ACH on file at all times.

8. Payment Authorization

Client authorizes A2Z to charge the payment method on file within 24 hours of service completion or invoice issuance for all labor charges, weekly invoices, fees, and outstanding balances.

9. Time Approval

Labor hours may be approved via timesheet, text, email, or authorized representative. Hours are deemed accepted if not disputed within 48 hours.

10. Net 7 Payment Terms

Invoices are due within 7 days.

11. Late Fees

10% late fee on past due balances, plus additional collection fees and legal costs where applicable.

12. Cancellation

Less than 12 hours notice is billed at 4 hours per worker equivalent; cancellation after arrival is billed at the 8‑hour minimum.

13. Unforeseen Site Conditions / Incurrences

A2Z shall not be liable for any additional labor costs, delays, or expenses arising from undisclosed, concealed, or unforeseen site conditions not identified or communicated by Client prior to commencement of work, including hidden utilities, subsurface obstructions, hazardous materials, unstable soil, unauthorized structural modifications, or any other site anomaly not reasonably discoverable through standard pre‑job review. If unforeseen conditions require additional labor beyond the original scope, A2Z will notify Client and such additional labor will be billed at the rates in Section 4. Client assumes full responsibility for the accuracy and completeness of all site information provided to A2Z.

14. No Pay When Paid

Client's payment obligation is independent of third-party payment.

15. Non-Solicitation

Client may not hire or solicit A2Z workers for 12 months after last service.

16. Liquidated Damages

$10,000 per worker or 30% of annual compensation for violation of the non-solicit provision.

17. Mechanics Lien Rights

A2Z may preserve and enforce lien rights under California law, including preliminary notices and recording liens. This Agreement preserves statutory rights.

18. Safety

Client is responsible for jobsite safety and compliance.

19. Limitation of Liability

Liability is limited to amounts paid in the prior 30 days.

20. Termination

Either party may terminate with written notice. Payment and lien obligations survive termination.

21. Entire Agreement

This document supersedes all prior agreements and may only be modified in writing.

22. Electronic Signature Consent

By checking the box and signing below, Client agrees that its electronic signature is the legal equivalent of a handwritten signature, consents to conduct this transaction electronically under the U.S. ESIGN Act and California's Uniform Electronic Transactions Act, and agrees this Agreement is binding on Client and any company/entity Client represents.
